Revised Transparency Directive: the transposition continues

Transposition of the revised Transparency Directive, provided for by the DDADUE law, is ongoing. Certain provisions have already entered into force and others will be transposed by 27 November 2015. Until 15 July 2015, the AMF will be consulting on the first amendments to be made to Book II of its General Regulation in order to ensure compliance with the DDADUE law. Another public consultation will be launched in the second half of the year, particularly regarding sanctions and notification and disclosure of major shareholdings.

General meetings: publication of a decree modifying the cut-off time and criteria for establishing the list of persons authorised to participate

The AMF wishes to draw the public's attention to the modification, by decree, of the cut-off time and rules for establishing the list of persons authorised to participate in a general meeting (record date) as share- or bondholders of a French company whose securities are traded on a regulated market. The cut-off time for an investor to include a resolution on the agenda has also been modified.

Abolition of the requirement to produce quarterly financial information: the AMF publishes a draft recommendation

In order to allow issuers to prepare for the abolition of the obligation to produce quarterly financial information, planned for 2015, the AMF is publishing a draft recommendation on the subject. This new measure is included in the revised Transparency Directive, which is being transposed into national law via the draft law bringing a number of provisions into line with European Union economic and financial law, currently being examined by the Senate.

The AMF publishes its recommendations for 2013 financial statements

In addition to the priorities announced by the European Securities and Markets Authority (ESMA), the AMF wishes to draw attention this year to themes relating to the new consolidation standards, which may be applied early from 2013, and to tax-related items, which are especially important for financial analysts to understand in the current setting.

Prospectus Directive revised and transposed

The revision of the “Prospectus” Directive by Directive 2010/73/EU of 24 November 2010 introduced or amended a number of provisions with which issuers must now comply. These provisions have been transposed at both legislative (order) and regulatory (decrees and AMF General Regulation) levels. This transposal was carried out in two stages, with first an amendment of the AMF General Regulation in July 2012 and then amendments to the law (by order) and decrees in November 2012. The latest amendments to the General Regulation further to this law are currently under approval.
