The aim of this instructive guide is to present an overview of the stress test practices of French asset management companies (AMCs). Its target audience is primarily AMCs that manage undertakings for collective investment in transferable securities (UCITS) or alternative investment funds (AIFs), or that provide a third-party portfolio management investment service, but it may also be of use to investment services providers that provide the same service.

The AMF has compiled this handbook for small and mid cap issuers . By recalling the main financial disclosure-related documents that issuers should be familiar with, this handbook addresses key issues and questions on the following themes : financial reporting and disclosure principles, principle of inside information and prevention of insider dealing by senior executives, Information provided by senior executives and shareholders, trading in securities and market-related questions, governance, IFRS accounting information.

This guide aims to help asset management companies implement the new measures introduced by MiFID II. It will be updated to take account of the additional texts of the directive. The AMF has covered all the key topics of the directive for asset management companies, including product governance, “independent” investment advice, fees or best execution.

Directive 2014/91/EU of 23 July 2014 on UCITS, the so-called UCITS V Directive, was published in the Official Journal of the European Union on 28 August 2014 with a requirement for transposition into French law by 18 March 2016 and immediate entry into force. Prior to its transposition, the Autorité des Marchés Financiers (AMF) is publishing a guide to help management companies and answer questions about how the UCITS V Directive will impact their business. This guide may be updated as regulations evolve.
